XpenseDash Partner Program Agreement

This Partner Program Agreement ("Agreement") is entered into between XpenseDash ("XpenseDash," "we," "us," or "our") and you, the applicant or approved affiliate ("you" or "Affiliate"). This Agreement governs both the XpenseDash Flagship partner track (XpenseDash Pro and Teams) and the XpenseDash Editions partner track (including HSA Edition and every Edition product) under a single, unified legal framework.

By submitting a partner application and accepting this Agreement, you agree to be bound by these terms in connection with your participation in the XpenseDash Partner Program.

1. Independent Contractor Status

Affiliates participate in the Partner Program as independent contractors. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between you and XpenseDash. You are solely responsible for the manner and means of your promotional activities, and you have no authority to make any statement, commitment, or representation on behalf of XpenseDash.

Submitting a partner application does not guarantee acceptance into the Program. XpenseDash reviews each application and reserves the unilateral right, exercisable at its sole discretion and at any time, to reject or deactivate any Affiliate, with or without cause.

2. Commission Calculation Basis

All commissions — whether the Standard baseline rate or the elevated VIP rate, as specified on your approved track — are calculated strictly on the Net Developer Proceeds actually received by XpenseDash from Apple for the applicable transaction. Net Developer Proceeds means the gross retail transaction amount minus Apple's App Store commission (15% or 30%, as applicable under Apple's App Store Small Business Program and standard terms), applicable sales taxes, chargebacks, and store-issued refunds.

Commission figures published anywhere, including earnings projections shown on partner pages, are estimates for illustration only. The amounts actually accrued in the commission ledger are calculated on the Net Developer Proceeds of each settled transaction, and payouts are made on that basis.

3. Payout Schedule & Thresholds

Commissions are distributed on a Net-30 payout cycle. Payouts are processed on or around the 15th of each calendar month for settled earnings accrued during the preceding calendar month.

The minimum payout threshold is $20.00 USD. If your accrued, unsettled balance is below $20.00 USD on a payout date, that balance automatically rolls over to the next monthly payout cycle, and will be paid in the first cycle in which your cumulative unsettled balance meets or exceeds the threshold.

All disbursements are issued via PayPal or another standard payout method to the payout email address you provided in your application. You are responsible for any recipient fees charged by your payout provider, as well as any currency conversion surcharges applied to your disbursement.

4. Tax Compliance (IRS Form W-9 / W-8BEN)

As an independent contractor, you are solely responsible for all federal, state, and local taxes arising from commissions earned under this Agreement, including any obligation to make estimated tax payments.

In accordance with IRS regulations, an Affiliate whose cumulative earnings from the Program reach or exceed $600.00 USD in a calendar year must provide XpenseDash with a signed IRS Form W-9 (or IRS Form W-8BEN for non-U.S. residents) prior to the release of any subsequent payouts. Until the required form is received and accepted, XpenseDash may suspend further disbursements.

5. Self-Dealing & Anti-Fraud

You are strictly prohibited from purchasing subscriptions through your own referral links for the purpose of obtaining a personal discount, rebate, or cashback on your own purchases.

The following conduct is strictly prohibited and constitutes a material breach of this Agreement: cookie stuffing; attribution spoofing; automated or simulated clicks, installs, or purchases; and purchasing subscriptions on behalf of third parties to generate artificial commission volume.

Any violation of this Section results in immediate termination of your Affiliate account, permanent revocation of your affiliate links, and forfeiture of all unpaid accrued earnings.

6. Paid Advertising & Search Bidding Restrictions

You are strictly barred from bidding on paid search keywords containing "XpenseDash", "XpenseDash Editions", "HSA Edition", any specific Edition name (e.g., "DoorDasher Ledger"), or common misspellings of any of the foregoing, on any paid search or advertising platform, including but not limited to Google Ads, Bing Ads, and Apple Search Ads.

This prohibition applies whether the restricted keyword is used alone or paired with any other term, including but not limited to "coupon", "promo code", or "discount".

7. FTC & Regulatory Disclosure Compliance

Pursuant to the U.S. Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials, you must clearly and conspicuously disclose your material connection to XpenseDash in all promotional content — including videos, social media posts, articles, and newsletters — in which you promote XpenseDash products or your affiliate link.

Acceptable disclosures include, for example, prominent display of "#ad" or "#affiliate" hashtags in captions, or unambiguous verbal disclosures in video content. Disclosures must be easily noticed, heard, and understood by the ordinary consumer; a disclosure buried in a profile bio, hashtag cloud, or a "more" link does not satisfy this requirement.

8. Attribution & StoreKit Redemption

Referral attribution is applied exclusively upon a referred person's initial web account registration through your unique affiliate link. Apple offer codes — such as the 14-day Edition Lite free trial or the Flagship subscription discount — are delivered to referred users by email after registration and redeemed natively through Apple's StoreKit.

Any attempt to manipulate web attribution mechanics, the StoreKit redemption process, or any other part of the referral pipeline is grounds for immediate termination of this Agreement.

9. Termination & Modification

XpenseDash may modify the terms of this Agreement or terminate the Partner Program at any time upon thirty (30) days' notice to Affiliates. Where practical, notice will be provided by email to the address on your application and/or by updating this page.

Notwithstanding the foregoing, XpenseDash may terminate this Agreement or your participation in the Program immediately, without notice, in cases of fraud, brand abuse, or spam, including any violation of the Self-Dealing & Anti-Fraud, Paid Advertising & Search Bidding Restrictions, FTC & Regulatory Disclosure Compliance, or Attribution & StoreKit Redemption sections of this Agreement.

Upon termination for any reason, commissions accrued on transactions that settled prior to the effective date of termination and that have not been forfeited under the Self-Dealing & Anti-Fraud section will be paid in the next scheduled payout cycle, subject to the minimum threshold; commissions on any subsequent transactions will not accrue.
